AirDemo Terms and Conditions
1. Services and Support
Subject to these Terms of Service, AirDemo will make commercially reasonable efforts to provide access to the AirDemo platform to registered customers (“Customer”). During the registration process, Customer will select an administrative username and password for their AirDemo account. AirDemo reserves the right to refuse or terminate any account or password it deems inappropriate. AirDemo will also provide Customer with technical support as described in Section 10 (Support).
2. Restrictions and Customer Responsibilities
Customer agrees not to, directly or indirectly: reverse engineer, decompile, disassemble, or attempt to derive the source code, object code, or underlying structure of AirDemo or any associated software (“Software”); modify or create derivative works based on the platform, except as expressly allowed by AirDemo; use AirDemo in a service bureau or to provide services to third parties, or remove or alter any proprietary notices from the platform.Customer agrees not to export or re-export any part of the platform or related software in violation of applicable laws or regulations. Customer agrees to use the platform in compliance with applicable laws and regulations and will indemnify AirDemo for any claims, damages, or expenses resulting from Customer’s breach of these Terms. AirDemo reserves the right to monitor usage and may restrict access for misuse or illegal activities.Customer is responsible for maintaining their equipment, including computers, networks, and systems needed to access AirDemo, as well as the security of their account and any passwords. Customer will ensure that no prohibited content, such as personally identifiable information (PII), confidential information, or illegal content, is uploaded to the platform.
3. Confidentiality and Proprietary Rights
Each party agrees to keep the other party’s proprietary and confidential information (“Confidential Information”) secure and not to disclose or use it except as necessary to perform under these Terms. Confidential Information of AirDemo includes details about its services and performance. Customer’s Confidential Information includes any data submitted to AirDemo for the purposes of using the platform.AirDemo has the right to collect and analyze data from Customer’s usage of the platform and to use such data to improve the service. AirDemo may disclose aggregate or anonymized data as part of its business operations.
4. Payment and Fees
Customer will pay the applicable fees for the use of AirDemo’s platform as per the pricing plan selected. AirDemo reserves the right to adjust fees at the end of each subscription term, with prior notice provided to the Customer. Any billing disputes must be raised within 60 days from the billing statement date, or they will be considered final.If Customer opts for invoiced billing, invoices will be available for annual or semi-annual prepayments. Monthly billing is only available via credit card. Customer is responsible for any applicable taxes, excluding taxes on AirDemo’s net income.
5. Term and Termination
These Terms remain in effect for the initial subscription period and will automatically renew unless terminated by either party with at least seven (7) days' notice before the end of the current term. Either party may terminate the agreement if the other party materially breaches the terms or fails to make payments. Upon termination, Customer will have 30 days to retrieve their data before it is deleted by AirDemo.Provisions related to payment, confidentiality, and limitations of liability will survive termination.
6. Warranty Disclaimer
AirDemo strives to provide reliable services but does not guarantee that the platform will be error-free or uninterrupted. Services may be temporarily unavailable for maintenance or due to circumstances beyond AirDemo’s control. The platform is provided “as is,” and AirDemo disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Indemnity
AirDemo will defend and hold Customer harmless against third-party claims related to infringement of intellectual property rights, provided that Customer promptly notifies AirDemo and allows AirDemo to control the defense. This indemnity does not apply if the claim arises from modifications to the platform by the Customer or if the Customer’s use is not in line with these Terms.
8. Limitation of Liability
Except in cases of gross negligence or willful misconduct, neither party will be liable for indirect, incidental, special, or consequential damages, including loss of data or business interruption. AirDemo’s total liability for any claims related to these Terms will be limited to the amount paid by Customer in the 12 months preceding the event that gave rise to the liability.
9. Customer Reference
Customer agrees that AirDemo may use Customer’s name and logo for marketing purposes, subject to Customer’s written approval.
10. Support
AirDemo provides technical support via email during business hours (9:00 AM – 5:00 PM EST), excluding U.S. Federal holidays. Customers can submit support requests to support@airdemo.com. AirDemo will make reasonable efforts to respond to support inquiries within one (1) business day.
11. Miscellaneous
These Terms constitute the entire agreement between the parties and supersede any prior agreements or understandings. Any modifications to these Terms must be in writing and agreed to by both parties. If any provision is found to be unenforceable, the remaining provisions will continue in effect. Any disputes will be resolved by binding arbitration, and both parties waive the right to participate in a class action lawsuit.
